Terms of Services

These Terms of Service (“Terms”) constitute a binding agreement between you and Akeelo Studio (“Company,” “we,” “us”) regarding your use of our services.

1. Payment Terms

1.1 Deposits and Payments
  • 50% deposit required to begin work
  • Remaining balance due before final delivery
  • Deposits are non-refundable once work has commenced
1.2 Ongoing Services (Retainers)
Monthly retainers (marketing, ads, hosting, etc.) are due in advance of each billing cycle.
1.3 Late Payments
Invoices are due upon receipt unless specified otherwise. Late payments may incur a 5-10% late fee after 7-14 days.
1.4 Non-Refundable Services
Once work has commenced or been completed, payment is non-refundable.

2. Project Scope and Revisions

2.1 Scope of Work
Project scope is defined in our Statement of Work (SOW). Work outside the agreed scope is considered out-of-scope and subject to additional charges.
2.2 Revisions Included
The following are included in base project fees:
  • Design projects: 2-3 rounds of revisions
  • Web development: 2-3 rounds of testing and feedback
  • Beyond included revisions: Billed hourly or at a fixed rate
2.3 Change Requests
Changes to project scope must be approved in writing via change order. Change orders will specify additional costs and timeline impacts.

3. Timeline and Delays

3.1 Project Timeline
Project timelines are specified in the SOW and are estimates based on timely client feedback and approvals.
3.2 Client Delays
If delays are caused by client inaction, late feedback, or scope changes, the timeline will be extended accordingly.

4. Ongoing Services (Minimum Engagement)

4.1 Minimum Engagement
Ongoing services (Google Ads, Facebook Ads, SEO, email marketing, hosting) require a minimum 3-month engagement.
4.2 Cancellation
After the minimum engagement period, services can be cancelled with 30-day written notice. Early cancellation may be subject to early termination fees.

5. Intellectual Property

5.1 Client Ownership
You own all final deliverables (websites, designs, content) upon full payment.
5.2 Work in Progress
Work-in-progress files, source code, and preliminary designs remain the property of Akeelo Studio until final payment and delivery.
5.3 Portfolio Rights
Akeelo Studio retains the right to display completed work in our portfolio, case studies, and marketing materials unless confidentiality is explicitly required in writing.

6. Limitation of Liability

Our total liability to you is limited to the amount you paid for services. We are not responsible for indirect damages, lost profits, or business interruption.

7. Client Responsibilities

You are responsible for:
  • Ensuring all content you provide is legal and original
  • Owning intellectual property rights to all assets you provide
  • Maintaining website backups
  • Complying with platform policies (Google, Meta, etc.)

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement.

9. Termination

Either party may terminate with written notice. Upon termination, all outstanding invoices are immediately due.

10. Governing Law

These Terms are governed by the laws of New Mexico, United States.
